| Copyright of Artwork, Design & Concept. No modification, adaptation & alteration is permitted on visual concept that proposed by GXK without our permission. The visual submitted belongs solely to the copyright of GXK. Customer will own the concept & design of the final web site upon final payment is fully made to GXK. GXK and its subcontractors retain the right to display graphics and other design elements as examples of their work in their respective portfolios.
Production Procedure. Our designers will ask our clients about their company preferences during first meeting. 2. First view, revise or approve the visual options that GXK team of professional designers creates for client. 3. Second review the revised visual options as per client preferences within 3-4 business days after the selection of visual options. The revision is based on the feedback that client provides in the previous step. 4. Finalize client's web site design artwork when client satisfied with the revised final option then a mock web site will be provided for client preview. 5. Publish client's website once received approval from client.
Production Schedules. Project will be commenced upon the collection of first deposit. Production schedules will be established and adhered to by GXK and the customer provided that neither shall incur delays due to fire, accidents, energy failure, equipment breakdown, supplier delays, action of Government, acts of God or other causes beyond the control of GXK or customer.
Authorization.The above-named client is engaging GXK as an independent contractor for the specific project of developing and/or improving a World Wide website to be installed on the client's web space on a web hosting service's computer. The client hereby authorizes GXK to access this account, and authorizes the web hosting service to provide GXK with "write permission" for the client's webpage directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. The client also authorizes GXK to publicize their completed website to Web search engines, as well as other Web directories and indexes. |
Mock Web site. Online Mock Web site will be provided by GXK in html format for client's preview. A website review & approval agreement will be sent to client and must be reviewed and returned within twenty four (24) hours in order for web site requests to be completed on schedule. If corrections are made and revised proofs are desired, request must be made when proofs are returned. We cannot be held responsible for errors under the following conditions: If the web site is published per customer's OK; if changes are communicated verbally; or if customer has instructed GXK to proceed without returning proofs.
Copyrights and Trademarks. The finished web site for clients represent GXK and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to GXK for inclusion in printed materials are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend GXK's production and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.
Legal
GXK does not warrant that the functions contained in these webpages or the Internet website will meet the client's requirements or that the operation of the webpages will be uninterrupted or error-free. The entire risk as to the quality and performance of the webpages and website is with client. In no event will GXK - Webmaster (www.gxk.com.my) be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these webpages or website, even if GXK has been advised of the possibility of such damages. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions. |
Assignment of Project. GXK reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.
Sole Agreement. The agreement contained in this "Web Site Design Project Agreement" constitutes the sole agreement between GXK, its subcontractors, and the client regarding this project. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honoured for 12 months after all parties sign this contract. Continued services after that time will require a new agreement.
Payment Method. 50% down payment of total project cost should be paid to GXK upon confirmation of project, 30% when the web pages have been constructed and proofed according to the client's original written specifications unless other arrangements have been agreed upon. 20% balance should be paid to GXK within Seven (7) working days after client's website is published online. All cheques should be made payable to "GXK". Payment shall be whatever was set forth in the quotation. GXK reserves the right to remove web pages or client's entire website from server for viewing on the Internet if client failed to pay GXK on time.
Extra Maintenance. For extra minor changes or update must be requested within Seven (7) working days after client's web site is published online. Failure to make such request within the stated period shall constitute acceptance. Changes requested by the client beyond those limits will be billed at the hourly rate of RM75. |
